These Terms of Sale govern the purchase of products offered for sale through the website www.tedco.ai (the “Website”) and constitute a legally binding agreement between the purchaser (“Customer”, “you”, or “your”) and Ted&Co SAS (“Ted&Co”, “Company”, “we”, “us”, or “our”).
By placing an order on the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms of Sale.
1. Company Information
Products sold on the Website are offered by Ted&Co SAS, a company organized under the laws of France with its registered office located at 100 rue Saint-Dominique, 75007 Paris, France.

2. Products
Ted&Co sells a connected interactive plush toy known as “Ted, Smart Teddy.” Product descriptions, images, and specifications presented on the Website are provided for informational purposes and may be updated or modified at any time.
Ted&Co makes reasonable efforts to ensure that product descriptions are accurate. However, Ted&Co does not guarantee that all information displayed on the Website is free from errors or omissions.
3. Limited Production
Certain Ted&Co products may be produced in limited quantities. The first production batch of Ted, Smart Teddy is limited to three hundred (300) units.
Orders are processed on a first-come, first-served basis and product availability cannot be guaranteed until the order has been confirmed.
Ted&Co reserves the right to refuse or cancel orders where necessary, including in cases of product unavailability or suspected fraudulent activity.
4. Ordering Process
Customers may place orders through the Website by selecting the desired product and completing the checkout process. During checkout, customers must provide accurate and complete information necessary for order processing and delivery.
Once an order has been placed, the customer will receive an order confirmation email acknowledging receipt of the order. This confirmation does not constitute acceptance of the order but confirms that the order has been received.
Ted&Co reserves the right to cancel or refuse orders at its discretion, including where there are errors in pricing or product information.
5. Prices
All prices displayed on the Website are indicated in the applicable currency and may include or exclude taxes depending on the customer’s location and applicable law.
Ted&Co reserves the right to modify prices at any time prior to order confirmation. The price applicable to an order is the price displayed at the time the order is placed.
6. Payment
Payments for purchases made through the Website are processed through authorized payment providers, including Shopify Payments and PayPal. Payment card information is processed securely by these providers and is not stored by Ted&Co.
By submitting payment information, the customer represents that they are authorized to use the selected payment method.
Ted&Co reserves the right to suspend or cancel orders if payment authorization fails or if fraudulent activity is suspected.
7. Shipping and Delivery
Ted&Co ships products to customers located in the United States and the European Union, subject to applicable legal and regulatory requirements. Due to regulatory requirements, shipments to certain jurisdictions, including the U.S. state of Pennsylvania, may be restricted.
Delivery times provided on the Website are estimates only and are not guaranteed. Ted&Co shall not be responsible for delays caused by shipping carriers, customs authorities, logistics providers, or events beyond the Company’s reasonable control.
Risk of loss and responsibility for the product pass to the customer upon delivery to the carrier or upon delivery to the customer, depending on the applicable law and shipping arrangement.
8. Right of Withdrawal
Customers purchasing products through the Website may have a statutory right of withdrawal allowing them to return the product within fourteen (14) days of delivery, in accordance with applicable consumer protection laws.

9. Returns and Refunds
Returns and refunds are governed by the Returns & Refunds Policy published on the Website. Customers must follow the instructions provided by Ted&Co in order to return products.
Ted&Co reserves the right to inspect returned products before issuing refunds and to verify that the returned product corresponds to the original order.
10. Limited Warranty
Products sold by Ted&Co are covered by a twelve (12) month limited warranty covering manufacturing defects under normal use.

11. Software and Connected Features
Ted, Smart Teddy includes software and firmware components that enable connected features and voice interactions. Certain functionality requires an active internet connection and may rely on third-party services.
Ted&Co may provide software updates from time to time in order to maintain functionality, improve performance, or address security issues.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Ted&Co shall not be liable for indirect, incidental, or consequential damages arising from the purchase or use of the product.
Ted&Co’s total liability in connection with any purchase shall not exceed the amount paid by the customer for the product giving rise to the claim.
13. Force Majeure
Ted&Co shall not be liable for delays or failure to perform obligations where such delay or failure results from events beyond the Company’s reasonable control, including natural disasters, transportation disruptions, labor disputes, supply chain interruptions, government actions, or internet outages.
14. Governing Law
These Terms of Sale are governed by the laws of France, without regard to conflict of law principles.
Any dispute arising from the purchase of products through the Website shall be subject to the jurisdiction of the competent courts of France, except where mandatory consumer protection laws provide otherwise.
15. Changes to the Terms of Sale
Ted&Co reserves the right to modify these Terms of Sale at any time. Updated versions will be published on the Website.
Orders placed after the publication of updated Terms of Sale will be governed by the version in effect at the time of purchase.
