These Terms of Service (“Terms”) govern access to and use of the website located at www.tedco.ai, the Ted&Co mobile application, and the connected teddy bear product known as “Ted, Smart Teddy”, together with any related services, software, content, and functionality provided by Ted&Co (collectively, the “Services”). These Terms constitute a legally binding agreement between you and Ted&Co SAS.
By accessing the website, creating an account, purchasing a product, downloading or using the Ted&Co mobile application, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.
1. Company Information
The Services are operated by Ted&Co SAS, a company organized under the laws of France with its registered office located at 100 rue Saint-Dominique, 75007 Paris, France. Throughout these Terms, the terms “Ted&Co”, “Company”, “we”, “us”, or “our” refer to Ted&Co SAS. Any questions regarding these Terms or the Services may be directed to hello@tedco.ai.
2. Eligibility and Parental Responsibility
The Services are intended for use by parents or legal guardians. By using the Services, you represent and warrant that you are at least eighteen (18) years of age or that you are accessing the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The product Ted, Smart Teddy is designed for children aged three (3) years and older.
Because the product is designed for children, parents and legal guardians remain solely responsible for supervising the use of the product and for determining whether the Services are appropriate for their child. Ted&Co does not assume responsibility for monitoring or supervising children’s interactions with the product.
3. Description of the Services
Ted&Co provides an interactive connected plush toy known as Ted, Smart Teddy, which enables voice-based interactions between a child and artificial intelligence technology through an embedded electronic voice module. The Services include the teddy bear device itself, associated firmware and software, a parental control mobile application, and connectivity services necessary for operation.
Certain functionality of the product depends on an active internet connection and communication with remote infrastructure. If the device does not have internet connectivity, some or all features may not operate. Ted&Co does not guarantee uninterrupted or continuous availability of the Services.
4. Artificial Intelligence and Generated Content
Ted generates responses through artificial intelligence technologies. Ted may rely on third-party artificial intelligence providers and models to generate responses. Due to the inherent nature of artificial intelligence systems, responses produced by Ted may contain inaccuracies, incomplete information, or unexpected outputs.
You acknowledge and agree that Ted is not a human and should not be treated as one. Ted is not a teacher, therapist, babysitter, medical professional, legal advisor, or other licensed professional. The responses generated by Ted are for entertainment and general informational purposes only and must not be relied upon for professional advice, safety-critical decisions, or supervision of children.
Parents and guardians remain solely responsible for supervising interactions between children and the product.
5. Parental Controls and Safety Features
The Services include parental control functionality accessible through the Ted&Co mobile application. These controls allow parents or guardians to configure certain safety settings, adjust interaction preferences, and manage aspects of device operation. While Ted&Co implements safeguards designed to reduce the likelihood of inappropriate responses, no filtering system is perfect and Ted&Co does not guarantee that all inappropriate or undesirable content will be prevented.
Parents and guardians remain responsible for configuring available parental controls and supervising the use of the product.
6. User Accounts
Certain features of the Services require the creation of a user account. When registering for an account, you agree to provide accurate and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Ted&Co reserves the right to suspend or terminate accounts that violate these Terms or that compromise the security or integrity of the Services.
7. Orders and Product Availability
Products may be purchased through the website located at www.tedco.ai. The first production batch of Ted, Smart Teddy is limited to three hundred (300) units. Availability is limited and orders are processed on a first-come, first-served basis.
Ted&Co reserves the right to refuse, cancel, or limit any order at its discretion, including where product availability is limited, where pricing or product information is inaccurate, or where fraud or misuse is suspected.
8. Shipping and Delivery
Ted&Co ships products to customers located in the United States and the European Union, subject to applicable legal and regulatory requirements. Due to regulatory requirements, shipments to certain jurisdictions, including the U.S. state of Pennsylvania, may be restricted.
Delivery times are estimates only and are not guaranteed. Ted&Co shall not be responsible for shipping delays caused by carriers, customs procedures, logistics providers, force majeure events, or other circumstances beyond the Company’s reasonable control.
9. Returns and Refunds
Customers have the right to return products within fourteen (14) days of delivery in accordance with applicable consumer protection laws. Ted&Co will cover the cost of return shipping for eligible returns. Upon receipt and inspection of the returned product, refunds may be issued either to the original payment method or as store credit at the customer’s election. 10. Limited Warranty
Ted, Smart Teddy is covered by a limited warranty for a period of twelve (12) months from the date of delivery. This warranty covers manufacturing defects in materials or workmanship under normal use. The warranty does not apply to damage resulting from misuse, accidents, unauthorized modifications, exposure to liquids, or normal wear and tear.
Ted&Co reserves the right, at its discretion, to repair or replace products that are determined to be defective under this warranty.
11. Software Updates
The device includes firmware and software components that may receive remote updates from time to time. By using the Services, you consent to the installation of updates that may modify, improve, or remove features of the product. Updates may also be necessary to address security vulnerabilities or maintain compatibility with other systems. Failure to install updates may result in limited functionality of the product.
12. Acceptable Use
You agree not to misuse the Services. In particular, you agree not to reverse engineer, modify, tamper with, or attempt to bypass any security features of the product or software. You further agree not to use the Services for unlawful purposes or in any manner that could harm others or interfere with the operation of the Services. Ted&Co reserves the right to suspend or terminate access to the Services if it reasonably believes that a user has violated these Terms.
13. Intellectual Property
All intellectual property rights in and to the Services, including but not limited to the Ted character, the Ted&Co brand, the software, the voice system, the mobile application, the website, and all associated designs and documentation, are owned by Ted&Co or its licensors. These Terms do not grant any rights to use Ted&Co’s intellectual property except as necessary for the normal use of the Services. Unauthorized reproduction, distribution, modification, or commercialization of any part of the Services is strictly prohibited.
14. Data Protection and Privacy
Ted&Co is committed to protecting user privacy. Data processing practices are described in the Privacy Policy available on the website. As part of the product’s privacy-first design, children’s raw audio recordings are not stored in the cloud and full conversation transcripts are not retained in cloud systems. Cloud data retention is limited to operational device data for a maximum period of seven (7) days, and most interaction data is stored locally on the parent’s device or within the application environment.
15. Third-Party Services
Certain components of the Services rely on third-party technologies and service providers, including artificial intelligence model providers, cloud infrastructure providers, payment processors, and application distribution platforms. Ted&Co does not control these third-party services and shall not be responsible for interruptions, failures, or security incidents originating from such providers.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Ted&Co shall not be liable for indirect, incidental, consequential, or punitive damages arising out of or related to the use of the Services. This includes, without limitation, damages resulting from reliance on AI-generated responses, loss of data, loss of profits, or interruption of service. In all circumstances, Ted&Co’s total liability shall not exceed the amount paid by the customer for the product giving rise to the claim.
17. Force Majeure
Ted&Co shall not be liable for any failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, labor disputes, pandemics, internet outages, supply chain disruptions, or transportation delays.
18. Termination
Ted&Co reserves the right to suspend or terminate access to the Services if a user violates these Terms, engages in unlawful conduct, or compromises the security or integrity of the Services.
19. Arbitration for U.S. Users
For users located in the United States, disputes relating to the Services shall be resolved through binding arbitration where permitted by applicable law. By using the Services, you agree to waive the right to participate in class actions or class arbitration against Ted&Co.
20. Governing Law
These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. Any disputes that are not subject to arbitration shall be submitted to the competent courts of France.
21. Changes to the Terms
Ted&Co reserves the right to modify these Terms at any time. Updated versions will be published on the website. Continued use of the Services after the publication of updated Terms constitutes acceptance of those changes.
